Welcome to DigiSocium, a digital marketing agency providing services including Branding/Rebranding, Web Design, Graphic Design, Social Media Management, Content Creation, SEO, Quality Check, Email Marketing, and Advertisements. At DigiSocium, we take pride in providing high-quality digital services to our customers. We understand that every customer’s needs are different, which is why we work closely with each customer to ensure that their specific needs are met. However, please note that we have certain terms and conditions that must be followed in order to receive our services.
a) These Terms and Conditions constitute a legally binding agreement between DigiSocium and the client (you). By accessing our website, registering or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions set forth below. In some particular cases, we can also ask you to explicitly agree. If you do not agree with any part of these terms, you should discontinue the use of our services immediately.
a) This Agreement does not transfer any intellectual property rights from DigiSocium to you. All rights, titles, and interests in DigiSocium’s intellectual property remain solely with DigiSocium. The DigiSocium name, logo, and all associated trademarks, service marks, graphics, slogans, and logos used to represent DigiSocium, its website, or its services are the exclusive property of DigiSocium or its affiliated entities. Any other trademarks, service marks, graphics, slogans, or logos appearing on the website or in our services may belong to third parties. Your use of the website and services does not grant you any rights or licenses to reproduce or use DigiSocium’s or any third-party trademarks. This means that you will not use, copy, reproduce, perform, display, distribute, embed into any electronic medium, alter, reverse engineer, decompile, transfer, download, transmit, monetize, sell, market, or commercialize any resources on this website in any form, without our prior written permission. Unless specific content dictates otherwise, you are not granted a license or any other right under Copyright, Trademark, Patent, or other Intellectual Property Rights.
a) DigiSocium reserves the right to display attribution links, such as “Marketed or made by DigiSocium,” as well as other similar acknowledgments (“Credits”) on your website or project. Certain Credits, as determined solely by DigiSocium, may not be removed.
a) If you believe that any material on or linked to by DigiSocium violates your intellectual property rights or those of others, please notify us immediately. DigiSocium will review such notices and take appropriate action, including removing the infringing material or disabling access to it, as required or deemed necessary.
a) Our pricing depends on many factors, including but not limited to the scope, complexity, and duration of the services requested.
a) All payments must be made in accordance with the agreed terms (e.g., upfront, milestone-based, or post-completion).
b) The payment for services rendered by DigiSocium must be made directly to DigiSocium, via secure bank transfers and / or other mutually agreed payment methods. Any updates to accepted payment methods will be communicated to you accordingly.
c) DigiSocium will retain the ownership and copyright of project related source files/codes/ images/ logos/ content/ designs/ programme and/ or any work material for the said project. Upon receipt of full payment for the project the customer will have full ownership and rights to use the above mentioned details.
d) A non-refundable deposit of 30-50% of the total project cost is required before work begins. This secures the client’s commitment and covers initial expenses.
e) DigiSocium invoices are issued on the first calendar day of each month for monthly services and on the renewal date for yearly subscriptions.
f) All invoices must be paid to DigiSocium in full and on time as outlined in the invoice. DigiSocium reserves the right to suspend or terminate the services if payments are not made on time.
g) Payments are generally accepted in the client’s local currency or a mutually agreed-upon currency.
h) Any disputes regarding payments must be raised in writing within 07 Working/ Business days of the transaction.
i) For larger projects, the total project cost shall be divided into milestone-based payments. Clients will be invoiced upon the successful completion of each predefined milestone, with the final payment due upon project completion. Failure to make timely payments may result in project delays, suspension, or termination of services at DigiSocium’s
j) Subscription-based services require a 15-day notice for cancellation; refunds will not be provided for mid-cycle cancellations.
k) Payment plans must be agreed upon in writing before project initiation.
l) Flexible payment plans can be arranged for long-term contracts upon request.
m) Clients will be notified of any changes to the payment structure or policy. Changes may or may not affect existing contracts unless mutually agreed upon.
n) Chargebacks or unauthorized disputes may result in service suspension until resolved.
a) DigiSocium deserves the right to be provided with electronic receipts for all payments made by the client, detailing the transaction and confirming payment.
b) Invoices will be sent via email and can also be provided upon request.
c) Clients are responsible for maintaining records of their transactions for future reference.
a) Since the services are digital and accessed immediately after payment, there will be no refunds or exchanges available once a project is completed and delivered.
b) For services where the initial 50% commitment fee has been made, it is non-refundable under any circumstances. In case the client wishes to cancel the project or request a refund due to a change of mind or any other reason, the initial 50% payment will not be returned.
c) Full refunds are issued only in cases where Digisocium fails to deliver the agreed service as per the contract. In that case the refund will be issued within 7-10 working days from the date of the refund request.
d) By proceeding with the payment, the client acknowledges and agrees to the refund policy of DigiSocium.
e) You acknowledge and agree that DigiSocium is not obligated to provide any refunds due to lack of usage of the platform or services after payment has been made. All payments are final and non-refundable unless otherwise stated in our Refund Policy.
a) Late payments may incur additional charges or service delays, if payments are overdue by 07 working/business days from the date of issuance.
b) Client agrees to pay all the taxes, legal or third-party involvement fees as per actual as applicable, in the project within time period as stipulated in the SOW signed and/ or max of 07 days. Else the project will be deemed to be on hold till clearance of all payments upto a maximum period of 1 month; after which the project will be closed with no return/ refund whatsoever. DigiSocium also reserves the right to keep the customer’s Social accounts and retain it as security until payment is made in full.
a) Any work not mentioned in the Proposal &/ SOW will be considered as “Additional”. There will be a separate cost for the same upon analyzing the work or there will be an amendment required in the existing proposal.
b) Minimum contract period for any service taken from DigiSocium, is for a period of 03 months (and no limit on maximum contract period),
c) The contract is Auto-Renewal type as the case or project may be and invoice will be raised automatically for legal payment towards the service(s) rendered or SOW signed for.
d) In-case client wants to close the Auto-Renewal, they may please inform us in writing at least 15 days in advance to the renewal date
e) Each project includes a predefined number of revisions as stipulated in the contract or SOW signed. Additional revisions will be billed separately.
f) Any change requests outside the agreed scope will require a new quotation.
g) The service provider reserves the right to showcase the work in their portfolio.
a) The delivery time of service will be agreed upon, prior to payment being made.
b) Estimated timelines will be provided before project commencement.
c) Delays caused by the client (e.g., lack of required materials, approvals) may impact the delivery timeline.
a) We will provide high-quality digital services and will make every effort to ensure customer satisfaction. However, please note that no refunds will be provided if the customer is not satisfied with the quality of work.
b) Digisocium strives for high-quality output in all services.
c) Clients are responsible for reviewing and approving the work before final delivery.
a) We will use our best endeavours to make our website available at all times, but cannot guarantee it will operate without interruptions or be error free. We cannot accept liability for any cases of its unavailability. In cases where Service is unavailable for more than five (5) days in any one calendar month, any loss of revenues during down times is neither covered nor recoverable.
b) Access to the website is free to all. Access to password protected sections of the website is limited and can be accessed with a valid account.
c) We reserve the right to: (i) refuse the provision of services to any user; (ii) cancel user accounts; (iii) cancel, change, suspend and modify services offered to users at any time without notice or liability; or (iv) block any domain or traffic with the potential of causing disruption to the DigiSocium and / or its services.
d) DigiSocium, deserves the right to initiate the project upon receipt of the acknowledgement of our proposal and/or SOW (Scope of Work) followed by advance payment for the project as per the SOW signed.
a) By visiting our website, you agree to use it only for the purposes intended and as permitted by these Terms, any additional contracts with us, and applicable laws, regulations, and generally accepted online practices and industry guidelines.
b) Clients must provide accurate and lawful content for marketing purposes.
c) We reserve the right to refuse services that promote hate speech, illegal activities, or unethical practices.
a) You must not use our website or services to publish, distribute, or link to malicious software, engage in fraudulent, misleading, or unethical marketing practices, or use data collected from our website for direct marketing or automated data collection activities. Additionally, clients may not use our services for illegal purposes or request copyrighted content without proper authorization.
b) Engaging in any activity that causes, or may cause, damage to the website or that interferes with the performance, availability, or accessibility of the website is strictly prohibited.
a) Our website may include hyperlinks or other references to other party’s websites. We do not monitor or review the content of other party’s websites which are linked to from this website. Products or services offered by other websites shall be subject to the applicable Terms and Conditions of those third parties. Opinions expressed or material appearing on those websites are not necessarily shared or endorsed by us. We will not be responsible for any privacy practices or content of these sites. You bear all risks associated with the use of these websites and any related third-party services. We will not accept any responsibility for any loss or damage in whatever manner, however caused, resulting from your disclosure to third parties of personal information.
b) DigiSocium cannot be held liable for delays, Third Party Data skews or inconsistencies provided by third party providers.
c) DigiSocium cannot accept any liability for interruption of services due to third party service interruptions.
d) We may use third-party tools, software, or platforms to execute marketing campaigns.
e) DigiSocium is not responsible for third-party outages, failures, or security breaches.
a) While we use industry best practices, marketing outcomes depend on various external factors beyond our control.
b) We do not guarantee specific rankings, sales, or engagement metrics.
a) Clients must be at least 18 years old or have legal authorization to enter into a contract.
a) You may register for an account with our website. During this process, you may be required to choose a password. You are responsible for maintaining the confidentiality of passwords and account information and agree not to share your passwords, account information, or secured access to our website or services with any other person. You must not allow any other person to use your account to access the website because you are responsible for all activities that occur through the use of your passwords or accounts. You must notify us immediately if you become aware of any disclosure of your password. After account termination, you will not attempt to register a new account without our permission.

b) These general Terms and Conditions, together with our privacy policy and contract specific terms, constitute the entire agreement between you and DigiSocium in relation to your use of this website.
c) You agree and acknowledge that DigiSocium has no obligation to retain your data, information, contact lists, business profiles or Third Party Data and that all such data may be irretrievably deleted if your account is cancelled for any reason. We collect and process client data solely for service execution.

a) Clients are responsible for maintaining secure passwords and preventing unauthorized access to their accounts.
a) By using this website or communicating with us by electronic means, you agree and acknowledge that we may communicate with you electronically on our website or by sending an email to you, and you agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement, including but not limited to the requirement that such communications should be in writing.
b) By engaging with Digisocium, you consent to receive electronic communications, including invoices, service updates, and promotional materials.
a) Notwithstanding the foregoing, you may forward our newsletter in the electronic form to others who may be interested in visiting our website.
b) Clients may subscribe to our newsletter for industry updates and promotional offers.
c) You can unsubscribe at any time.
a) DigiSocium is based on a subscription service model, where ongoing services are provided in exchange for subscription fees. You have the ability to unsubscribe or cancel Services provided at anytime. Cancellations need to be made at least 14 working days before the current subscription expiry date to avoid renewal charges.
b) Clients may cancel services, but the initial deposit is non-refundable. Additional fees may apply depending on the stage of the project.
c) Certain services (e.g., ad campaigns, SEO) may require a longer notice period due to their nature.
a) DigiSocium reserves the right to terminate services for any client or third-party service provider in cases of non-payment, breach of contract, violations of terms, or at its sole discretion without the obligation to provide a reason.
b) If the customer terminates the contract before the completion of the service, they will not be entitled to a refund.
c) DigiSocium may terminate your access to all or any part of the Website or Services at any time, with or without cause, with or without notice, in its sole discretion. Upon such termination, all amounts owed, accrued and payable will become immediately due. You have the right to stop using the Website or Services at any time; however, you will be obligated to pay any amounts contracted for or otherwise owed, accrued or payable to DigiSocium. You agree that DigiSocium may charge any such amount to your credit card or otherwise bill you for such unpaid amounts. Upon termination of access: (i) all rights granted to you under this Agreement will terminate immediately; and (ii) you must cease all use of the Website and Services. Termination will not limit any of DigiSocium rights or remedies under this Agreement or at law or in equity. We are not responsible for any loss, harm or other liability related to your inability to access or use the Website or Services.
a) Without prejudice to our other rights under these Terms and Conditions, if you breach these Terms and Conditions in any way, we may take such action as we deem appropriate to deal with the breach, including temporarily or permanently suspending your access to the website, contacting your internet service provider to request that they block your access to the website, and/or commence legal action against you.
b) Violations of these terms may lead to suspension or termination of services without a refund.
a) Any disputes arising from the invoice or service provided will be resolved through negotiation and mediation. If necessary, the dispute may be taken to court.
a) The company will not be held liable for any damages or losses incurred as a result of the digital service provided.
b) In case of any legal proceeding, the amount will never exceed the amount of the project charged from the client
c) Digisocium is not liable for indirect damages, lost profits, or business disruptions resulting from our services.
a) Our services are provided “as is” without guarantees or warranties.
b) Nothing in this section will limit or exclude any warranty implied by law that it would be unlawful to limit or to exclude. This website and all content on the website are provided on an “as is” and “as available” basis and may include inaccuracies or typographical errors. We expressly disclaim all warranties of any kind, whether express or implied, as to the availability, accuracy, or completeness of the Content.
We make no warranty that:
a) DigiSocium, Pakistan will not be liable for any kind of damages as described above to the client or any third party
b) Any claim for damages will be limited to the amount paid by the client for the disputed service.
a) Neither party shall be liable for the failure to perform any of its obligations under this Agreement, except for payment obligations, if such failure is caused by the occurrence of any event beyond the reasonable control of such party, including without limitation, fire, flood, strikes and other industrial disturbances, failure of raw materials suppliers, failure of transport, accidents, riots, insurrections, acts of God or orders of governmental agencies or due to uncontrollable events (e.g., natural disasters, political disruptions or war).
a) You agree to indemnify, defend and hold us harmless, from and against any and all claims, liabilities, damages, losses and expenses, relating to your violation of these Terms and conditions, and applicable laws, including intellectual property rights and privacy rights. You will promptly reimburse us for our damages, losses, costs and expenses relating to or arising out of such claims.
a) Notices shall be in the form of email or other agreed communication channels.
b) You have the ability to unsubscribe at any time.
a) Client agrees to not to solicit employees of DigiSocium, Pakistan either directly or indirectly or induce them to terminate his/her employment with DigiSocium or to hire any employee of DigiSocium without prior written approval of DigiSocium, Pakistan
b)) Clients cannot transfer their agreement with us to another party without our consent.
c) You may not assign, transfer or sub-contract any of your rights and/or obligations under these Terms and conditions, in whole or in part, to any third party without our prior written consent. Any purported assignment in violation of this Section will be null and void.
a) If any part of these terms is deemed invalid, the rest of the agreement remains enforceable.
b) Failure to enforce any term does not waive the right to do so later.
a) DigiSocium reserves the right to make technical, interface and service changes without notice. It is your obligation to periodically check these Terms and Conditions for changes or updates. The date provided at the beginning of these Terms and Conditions is the latest revision date. Changes to these Terms and Conditions will become effective upon such changes being posted to this website. Continued use of our services constitutes acceptance of the revised terms.
a) We may, in our sole discretion, at any time modify or discontinue access to, temporarily or permanently, the website or any Service thereon. You agree that we will not be liable to you or any third party for any such modification, suspension or discontinuance of your access to, or use of, the website or any content that you may have shared on the website. a) Except as expressly set forth in this Agreement, neither party makes and each party expressly disclaims any warranties as to the subject matter of this Agreement, including implied warranties of title, non-infringement, merchantability, or fitness for a particular purpose. For the avoidance of doubt, (i) the Service is provided “as is”; and (ii) DigiSocium makes no representations or warranties regarding the number, quality, or content of any Services or the timing of delivery of such Services, and, accordingly, DigiSocium users expressly assumes all risk and responsibility with respect thereto. Neither party shall be liable for any interrupted or inoperability of the Internet, technical malfunction, computer error, corruption or loss of information.
